Selecting a media agency in Germany follows the same discipline as any structured review: a clear brief, a scored pitch, and a contract that protects your commercial position. What makes Germany distinctive is that the central commercial question has already been answered by a court. Volume rebates, free spots, barter and own-account trading are structural features of German media buying, and the Danone versus Carat ruling confirmed that an agency must disclose what it receives on the back of a client’s spend, including via affiliated companies. In a German pitch, the question is not whether you are entitled to that transparency. It is whether the candidate volunteers it or makes you enforce it.

If you are new to structured agency reviews, The media agency selection process, step by step sets out the full methodology. The sections below focus on what Germany adds to that foundation.

What makes selecting a media agency in Germany different

Germany is one of Europe’s largest advertising markets, but its structure creates specific obligations for any advertiser running a pitch. The market operates on a well-established system of agency volume rebates (AVBs), free spots, barter arrangements and trading models in which the agency buys inventory on its own account and resells it to clients.

The legal baseline was set in December 2009, when the Oberlandesgericht München ruled in Danone versus Carat that the agency was required to disclose all rebates received, expressly including free spots, rebates in kind, kickbacks and benefits via affiliated companies, as the basis for pass-through claims. The advertiser body OWM and the agency body OMG had signed a joint transparency recommendation as far back as 2000. Together, these facts mean that disclosure is not a negotiating concession in Germany. It is an established obligation.

For a broader orientation on channels, ownership and audience patterns in this market, Advertising in Germany: the media landscape provides the context that anchors a pitch brief.

What to test German agency candidates on

A well-designed pitch in Germany examines four areas in writing, not in conversation.

Rebate and trading transparency. Ask every candidate which rebate forms it and its group receive on channels relevant to your plan; what is passed through and on what basis; where it trades on its own account rather than as agent, declared per transaction; and whether audit rights extend to affiliates and group level. A vague answer to these questions, in a market with this case law, is a deliberate choice.

Measurement fluency. AGF Videoforschung provides the TV and video currency, combining a panel with census streaming data. Member platforms such as Joyn, RTL+ and the public broadcasters’ Mediatheken sit inside this currency. Amazon Prime Video’s ad tier joined certified measurement in November 2025. Netflix and Disney+ remain outside it. Ask candidates to state the basis for every TV, streaming and cross-screen claim; to keep gross rate-card tracking and net figures in separate comparisons; to label digital figures as platform-reported, third-party-measured or modelled; and to state whether out-of-home claims rest on agma’s ma Plakat figures or on IDOOH’s digital figures.

Counterparty flux fluency. Both sides of the German TV duopoly changed hands in the recent period. MFE secured control of ProSiebenSat.1 in September 2025. RTL completed its acquisition of Sky Deutschland on 1 June 2026, after which Ad Alliance took over Sky’s ad sales and announced a revised TKP pricing model. Ströer, the out-of-home leader, has been the subject of unresolved private-equity interest. On the agency side, Omnicom completed its acquisition of IPG in November 2025. Ask candidates how their rate benchmarks survive these transitions, how commitments signed now are protected through the pricing-model change, and how their own volume positions with the enlarged sales houses affect your plan.

Compliance capability. Gambling advertising for virtual slots, online poker and online casino is banned between 06:00 and 21:00. Sports-betting ads are banned around the live event on the transmitting channel, and active athletes may not appear in betting ads. The gambling treaty’s evaluation report is due at the end of 2026, so the rules may move. Tobacco advertising is banned, with outdoor bans extended to e-cigarettes in 2024. Prescription medicines may not be advertised to the public under the HWG. Influencer and ad labelling follows the 2021 Federal Court of Justice rulings and the 2022 UWG amendment. Consent and targeting obligations run under the GDPR and the TDDDG. Ask candidates, in writing, who owns compliance for your category and how they track pending regulatory changes.

What the German agency contract must pin down

A contract written for a generic market will leave you exposed in Germany. Four areas require explicit terms.

Remuneration and rebates. Every rebate form should be defined in the contract: AVBs, free spots, barter and trading margins, each with its pass-through basis. Disclosure obligations must reach affiliates and group level, consistent with the case law established in Danone versus Carat. Agent versus own-account status should be declared per transaction, and audit rights must be broad enough to test all of it. Benchmarking consent should also be addressed.

The measurement basis per channel. TV and streaming claims should be tied to their stated AGF basis, with what sits inside and outside the currency made explicit. Gross and net figures must never be mixed in the same comparison. Digital figures should be labelled by source. OOH claims should be tied to ma Plakat or IDOOH per format, depending on the inventory type. These specifications belong in the agreement, with effective dates, not in a slide deck.

Compliance allocation. The contract should name the responsible party for gambling-rule clearance, category restrictions and GDPR/TDDDG obligations in targeting and measurement. Named accountability is harder to dispute than a general clause.

Change management. The Sky integration and revised pricing model are still bedding in. The ProSiebenSat.1 strategy under MFE is still unfolding. The Ströer situation has not resolved. The gambling treaty evaluation is pending. A well-drafted contract addresses how it adapts as these situations develop, so neither party is forced to relitigate the commercial terms mid-engagement.

Managing the agency relationship after appointment

Governance in Germany requires more active maintenance than in markets with simpler buying structures.

Agree performance yardsticks before the contract is signed, with the measurement bases written into the agreement. This prevents the definition of success from becoming a point of dispute once the relationship is under pressure.

Review rebate and trading disclosures at each major buying cycle. Positions shift with the market, and a declaration made at pitch reflects the situation at that moment. In a market as structurally active as Germany has been, those positions can change materially within a single year.

Ongoing reviews should recognise outperformance as readily as they identify shortfalls. An agency that receives only corrective feedback has less commercial incentive to bring you its best thinking on the next planning cycle.

Running a German pitch with independent support

For advertisers planning a media agency selection in Germany, Vendor-MGT runs agency selections and pitches independently, working exclusively on the advertiser’s side. A well-structured process in this market typically runs ten to sixteen weeks from the decision to review to contract signature, with the agency transition adding a further four to eight weeks.

If you are considering a review, The Pitch sets out how Vendor-MGT structures an independent selection process, from brief to appointment.

Frequently asked questions

What should a media agency contract in Germany cover? The contract should define every rebate form, including AVBs, free spots, barter and trading margins, with a stated pass-through basis for each. Disclosure must reach affiliates and group level, consistent with the case law from Danone versus Carat. The measurement basis should be specified per channel, with gross and net figures kept separate and digital figures labelled by source. Compliance responsibility should be named for each relevant category. The contract should also include change-management provisions to address ongoing shifts in ownership and regulation without requiring renegotiation mid-term.

What should I test German agency candidates on during a pitch? Four areas warrant written responses from every candidate: how rebates and trading models operate across the group, including pass-through and audit rights that reach affiliates; measurement fluency across TV, streaming, digital and OOH, including awareness of what sits inside and outside the AGF currency; how their rate benchmarks and volume positions hold up given recent changes in media ownership on both the broadcaster and agency sides; and who within the agency owns compliance for your category, given the active regulatory picture in gambling, outdoor, prescription medicines and digital targeting.

What did the Danone versus Carat ruling establish and why does it matter? In December 2009, the Oberlandesgericht München ruled that Carat was required to disclose to Danone all rebates received on the back of Danone’s spend, expressly including free spots, rebates in kind, kickbacks and benefits via affiliated companies. The court held that these formed the basis for pass-through claims. This ruling, combined with the OWM and OMG joint transparency recommendation from 2000, establishes that disclosure is a legal and commercial obligation in Germany, not a concession to be negotiated. In a German pitch, a candidate that cannot answer rebate and trading questions with precision is telling you something material about how it intends to operate the relationship.
